Effective Date: June 22, 2026
These Sales Terms are separate from, and do not form part of, Rybit’s General Terms and Conditions for Bicycle Subscriptions or leasing.
By purchasing a Bike from Rybit, Buyer agrees to these Sales Terms.
1.1. Buyer means any person, 18 years of age or older, who purchases a Bike from Rybit.
1.2. Bike means a used VanMoof S3 or X3 electric bicycle sold by Rybit to Buyer. The Bike may have been previously used as part of Rybit’s leasing fleet.
1.3. VanMoof S3 or X3 means a used VanMoof S3 or X3 electric bicycle that may include original VanMoof parts, replacement parts, refurbished parts, compatible service parts, or repaired components.
1.4. Purchase Agreement means the agreement formed between Rybit and Buyer for the sale of the Bike, consisting of the order confirmation, receipt, Bike Condition Disclosure, and these Sales Terms.
1.5. Bike Condition Disclosure means the written or electronic condition checklist, inspection record, or sale disclosure provided to Buyer at or before purchase or pickup.
1.6. Rybit Brand Store means a Rybit-operated retail location, pop-up store, warehouse, pickup site, or other location designated by Rybit for the sale or pickup of Bikes.
1.7. Warranty Period means the 60-day period described in Section 7 below.
2.1. A Purchase Agreement is formed once Rybit has accepted Buyer’s order and full payment has been received, whether the order is placed at a Rybit Brand Store, through Rybit’s website, through Rybit’s app, or through another Rybit-approved sales channel.
2.2. At the time of purchase or pickup, Buyer must present a valid form of identification confirming that Buyer is 18 years of age or older.
2.3. Rybit reserves the right to refuse or cancel any sale at its discretion, including where Rybit reasonably believes the transaction is fraudulent, payment cannot be verified, the Bike is unavailable, the Bike was listed in error, or the Bike fails final inspection before pickup or delivery.
2.4. If Rybit cancels an order before Buyer takes possession of the Bike, Rybit will refund the amount paid for the Bike, unless otherwise required by law.
3.1. Buyer understands that the Bike is used and may have been previously used as part of Rybit’s leasing fleet.
3.2. Buyer understands that the Bike is not new, is not represented as factory-certified, is not represented as manufacturer-refurbished, and is not restored to original factory condition unless expressly stated in writing by Rybit.
3.3. The Bike may show signs of normal wear and tear, including scratches, dents, paint wear, tire wear, brake wear, battery wear, drivetrain wear, cosmetic damage, replaced parts, repaired components, or other conditions consistent with prior use.
3.4. Buyer is encouraged to inspect the Bike, review the Bike Condition Disclosure, ask questions, and complete a test ride before completing the purchase or taking possession of the Bike.
3.5. Buyer acknowledges that any known material defects identified by Rybit at the time of sale may be disclosed in the Bike Condition Disclosure, order confirmation, receipt, email, or other written communication.
4.1. Before completing the purchase or taking possession of the Bike, Buyer will have the opportunity to inspect the Bike and ask questions about its condition.
4.2. Buyer acknowledges that used VanMoof S3 or X3 bikes may have cosmetic wear, reduced battery capacity, prior repairs, replacement parts, refurbished parts, electronic issues, app limitations, missing accessories, or other conditions consistent with prior use.
4.3. Buyer accepts the Bike in its disclosed condition, subject only to the Limited Warranty in Section 7 and any rights that cannot be waived under applicable law.
4.4. If Buyer chooses not to inspect or test ride the Bike before purchase or pickup, Buyer accepts the Bike based on the information made available by Rybit at the time of sale.
5.1. Except for the express Limited Warranty in Section 7 and any rights that cannot be waived under applicable law, the Bike is sold AS IS, WITH ALL FAULTS, and in its current used condition.
5.2. Rybit makes no promise that the Bike is free from defects except as expressly stated in the Limited Warranty.
5.3. All sales are final. Except as expressly provided in Section 7 or as required by applicable law, Rybit does not offer returns, exchanges, or refunds for any Bike sold under these Sales Terms, including for buyer’s remorse, change of mind, fit, comfort, range expectations, cosmetic condition, app limitations, or parts availability.
5.4. Nothing in these Sales Terms limits any non-waivable statutory right Buyer may have under applicable consumer protection law in Buyer’s jurisdiction. Where mandatory rights apply, they control to the extent of any conflict with these Sales Terms.
6.1. Buyer understands that the VanMoof S3 or X3 includes proprietary electronic systems and components, including but not limited to the battery, motor, motor controller, smart cartridge, electronic shifter, kick lock, display, buttons, wiring, alarm features, app-connected features, and firmware.
6.2. Rybit does not guarantee future availability of VanMoof parts, manufacturer support, firmware support, app connectivity, theft tracking, remote unlocking, alarm features, app pairing, diagnostics, or digital services.
6.3. Buyer understands that VanMoof S3 or X3 parts may be limited, delayed, discontinued, refurbished, third-party, compatible, or unavailable.
6.4. Buyer understands that repairs for VanMoof S3 or X3 bikes may be delayed or unavailable due to limited parts, discontinued parts, proprietary components, third-party repair availability, or manufacturer support limitations.
6.5. Unless expressly stated in the Bike Condition Disclosure, Rybit does not warrant or guarantee:
6.6. Any estimated mileage, range, repair history, condition rating, battery performance, or service information provided by Rybit is for general informational purposes only and is not a guarantee unless expressly stated as a warranty in writing.
7.1. For 60 days from the date Buyer takes possession of the Bike, whether by pickup or delivery, Rybit warrants only that the Bike will be capable of basic pedal-assisted riding, subject to the exclusions in this Section.
7.2. This Limited Warranty covers material defects in the frame, fork, motor, controller, and battery that prevent basic operation of the Bike and were not disclosed to Buyer at the time of sale.
7.3. To make a warranty claim, Buyer must notify Rybit within the Warranty Period through Rybit customer support or in person at a Rybit Brand Store. Buyer must describe the claimed defect and provide reasonable supporting information.
7.4. Rybit may require Buyer to bring the Bike to a Rybit Brand Store or other Rybit-approved location for inspection. Buyer is solely responsible for transporting the Bike to and from the inspection or service location. Rybit is not responsible for arranging transportation or reimbursing transportation costs.
7.5. Rybit’s sole obligation under this Limited Warranty, and Buyer’s exclusive remedy, is, at Rybit’s option:

7.7. Use of a third-party repair provider or third-party part does not automatically void the Limited Warranty. However, damage caused by improper repair, improper installation, modification, or incompatible parts is not covered.
7.8. Except for the express Limited Warranty above, Rybit disclaims all other warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.
7.9. Some jurisdictions do not allow the exclusion or limitation of implied warranties, so this disclaimer may not apply in full to Buyer.
8.1. Buyer understands that the VanMoof S3 or X3 uses a lithium-ion battery and that lithium-ion batteries require proper care, charging, storage, and handling.
8.2. Buyer must use only a VanMoof-compatible charger approved for use with the Bike.
8.3. Buyer must not use damaged chargers, modified chargers, chargers with exposed wires, chargers that overheat, or aftermarket chargers not approved for the Bike.
8.4. Buyer must not charge the Bike near flammable materials, in extreme temperatures, with damaged cords, or while the Bike, battery, or charger shows signs of overheating, smoke, odor, swelling, leakage, sparks, or physical damage.
8.5. Buyer should unplug the Bike after it is fully charged and should not leave the Bike charging unattended for extended periods.
8.6. Buyer must stop using and charging the Bike immediately if Buyer notices overheating, smoke, odor, swelling, leakage, sparks, abnormal sounds, error codes, charging failure, or physical battery damage.
8.7. Buyer is responsible for safe charging, safe storage, and proper battery care after taking possession of the Bike.
9.1. After purchase, Buyer is solely responsible for regular inspection, adjustment, maintenance, safe storage, and repair of the Bike.
9.2. Buyer is responsible for checking brakes, tires, wheels, chain, drivetrain, lights, reflectors, battery, charger, fasteners, and other safety-related parts before riding.
9.3. Buyer should stop riding immediately if the Bike shows signs of unsafe operation, including brake issues, steering issues, loose parts, electrical issues, battery issues, error codes, frame damage, or unusual noises.
9.4. Buyer is responsible for using the Bike safely and in compliance with all applicable laws, rules, and regulations.
9.5. Unless expressly approved by Rybit in writing, the Bike is sold for personal use only and is not intended for commercial delivery, courier services, rental, resale, fleet use, stunt riding, racing, off-road use, or other high-intensity use.
10.1. Rybit strongly recommends that Buyer, and any person who rides the Bike, wear a properly fitted, safety-certified bicycle helmet.
10.2. Helmets reduce, but do not eliminate, the risk of injury.
10.3. Buyer is responsible for complying with all applicable bicycle and e-bike laws, including helmet, age, road-use, passenger, lighting, speed, equipment, parking, and traffic laws.
10.4. Laws may vary by state, city, county, and local jurisdiction. Buyer is responsible for knowing and following the laws that apply where the Bike is used.
10.5. Buyer assumes all risks associated with ownership and use of the Bike, including risks of injury, death, property damage, theft, loss, accident, collision, weather conditions, road hazards, rider error, and actions of third parties.
11.1. Full payment is due at the time of purchase unless Rybit has expressly agreed to alternative payment terms in writing.
11.2. Title to the Bike transfers to Buyer upon Rybit’s receipt of full payment.
11.3. Risk of loss transfers to Buyer upon delivery or pickup of the Bike.
11.4. After risk of loss transfers, Buyer is responsible for theft, loss, damage, storage, insurance, charging, maintenance, and safe use of the Bike.
12.1. If Buyer initiates a payment dispute, chargeback, or reversal after receiving the Bike, Rybit may provide the Purchase Agreement, order confirmation, receipt, signed Bike Condition Disclosure, pickup confirmation, communications, and related records to the payment processor, financial institution, or dispute resolution provider.
12.2. Buyer remains responsible for the purchase price unless the chargeback or payment dispute is resolved in Buyer’s favor under applicable law.
13.1. Buyer agrees that no Rybit employee, representative, store associate, contractor, or agent has authority to modify these Sales Terms or make additional warranties unless the promise is in a written document signed by an authorized Rybit representative.
13.2. Buyer is not relying on any oral statement, estimate, advertisement, or informal communication that is not included in the Purchase Agreement.
14.1. To the fullest extent permitted by law, except for Rybit’s gross negligence, willful misconduct, or liability that cannot be limited by law, Rybit shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the purchase, ownership, maintenance, repair, storage, charging, or use of the Bike.
14.2. To the fullest extent permitted by law, Rybit’s total liability arising out of or related to the Purchase Agreement shall not exceed the purchase price paid by Buyer for the Bike.
14.3. Nothing in this Section limits liability that cannot be excluded or limited under applicable law, including liability for personal injury, death, gross negligence, willful misconduct, or any non-waivable product liability claim.
15.1. Rybit will not knowingly sell a Bike that is subject to an unresolved manufacturer safety recall known to Rybit at the time of sale.
15.2. After the sale, Buyer is responsible for monitoring manufacturer notices, recalls, maintenance requirements, and safety updates.
15.3. Buyer is responsible for following all manufacturer instructions and safety guidance that apply to the Bike.
16.1. Buyer understands that the VanMoof S3 or X3 may include app-connected or digital features that depend on third-party services outside Rybit’s control.
16.2. Rybit does not control VanMoof’s app, servers, account systems, firmware systems, tracking features, or digital services.
16.3. Buyer is responsible for creating, maintaining, transferring, or troubleshooting any third-party account needed to use app-connected features.
16.4. Rybit does not guarantee that prior digital ownership records, app accounts, tracking history, firmware, or digital settings can be reset, transferred, removed, updated, or restored.
17.1. Severability. If any provision of these Sales Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
17.2. Governing Law. These Sales Terms and any Purchase Agreement are governed by the laws of the State of California, without regard to conflict-of-law principles, except where mandatory consumer protection law of Buyer’s jurisdiction applies.
17.3. Venue. Any dispute arising from these Sales Terms shall be brought in the state or county where the Bike was purchased, picked up, or delivered, unless applicable law gives Buyer the right to bring the claim elsewhere.
17.4. Changes. Rybit may update these Sales Terms from time to time. The version in effect at the time of purchase governs that Purchase Agreement.
17.5. Entire Agreement. These Sales Terms, together with the order confirmation, receipt, and Bike Condition Disclosure, constitute the entire agreement between Rybit and Buyer regarding the sale of the Bike and supersede any prior statements, representations, or agreements regarding the sale.
17.6. No Waiver. Rybit’s failure to enforce any provision of these Sales Terms does not waive Rybit’s right to enforce that provision later.
17.7. Assignment. Buyer may not assign or transfer the Purchase Agreement without Rybit’s written consent.
